1. Introduction
This Cancellation Policy explains how cancellations and order modifications are handled for orders coordinated by Blueroute Exim ("Blueroute Exim", "we", "us"). For any specific order, the Proforma Invoice (PI) signed by both parties shall prevail in the event of any conflict with this Cancellation Policy.
We understand that plans change. However, once an order is placed and production has begun, the supplier has typically committed raw material, capacity and labour that cannot easily be reallocated. We therefore apply the following cancellation principles.
2. Cancellation before production starts
If you cancel an order before production has started at the supplier, we will use reasonable efforts to recover the advance from the supplier. The amount of advance that can be refunded depends on:
- Whether the supplier has already procured raw material specifically for your order.
- Whether the supplier has already committed capacity, tooling or printing plates for your order.
- Whether any inspection, lab testing or documentation work has already been carried out.
- The cancellation clauses (if any) in the PI.
Where the supplier has not yet committed raw material, capacity or tooling, a full refund of the advance is typically possible, less any administrative or coordination charges incurred. Where the supplier has already committed raw material, capacity or tooling, the advance may be partially or fully non-refundable.
3. Cancellation after production starts
If you cancel an order after production has started at the supplier, the advance is typically non-refundable. This is because the supplier has by that point committed raw material, labour and capacity to your order, and the partially or fully produced goods may not be saleable to another buyer without significant discount or rework.
In such cases, we will use reasonable efforts to:
- Negotiate a partial refund or credit with the supplier, where possible.
- Identify an alternative buyer for the produced goods, where the goods are saleable to another buyer.
- Minimise the overall financial impact on you, while respecting the supplier's legitimate commitments.
However, we cannot guarantee any refund of advance after production has started. The outcome depends on the supplier, the product and the stage of production.
4. Custom and private-label orders
For custom and private-label orders — where the supplier has produced goods to your specific branding, specification, packaging or labelling — the following stricter cancellation terms typically apply:
- The advance is non-refundable once custom raw material, packaging, printing plates, tooling or development work has been committed.
- Cancellation after the pre-production sample (PPS) has been approved is treated as cancellation after production has started.
- Custom-printed packaging, custom labels and custom-developed tooling cannot typically be resold to another buyer, and their cost is borne by the cancelling buyer.
For custom and private-label work, we strongly recommend that buyers confirm the specification, branding, packaging and labelling in writing before approving the PPS, because cancellation after PPS approval is rarely refundable.
5. Refund of advance — honest note
We want to be honest: advance payment in international sourcing is generally non-refundable once production has started, and is partially non-refundable once the supplier has committed raw material. This is not a Blueroute Exim policy alone — it is the practical reality of working with Indian manufacturers, who fund raw material and capacity against advance.
To minimise cancellation risk, we recommend:
- Confirming the specification, packaging and labelling in writing before placing the order.
- Approving the pre-production sample (PPS) for private-label work.
- Confirming destination compliance before placing the order.
- Reading the cancellation clauses in the PI carefully before paying advance.
- For larger orders, considering a Letter of Credit instead of large advance.
6. Order modification
If you need to modify an order after the PI is signed — for example, change quantity, specification, packaging, labelling or destination — we will use reasonable efforts to coordinate the modification with the supplier. However:
- Modifications requested after production has started may not be possible, or may incur additional charges.
- Modifications to quantity may affect the unit price (higher quantities may reduce unit price; lower quantities may increase unit price).
- Modifications to specification, packaging or labelling typically require a new sample approval and may extend the lead time.
- Modifications to destination may affect freight, insurance, documentation and Incoterm.
All modifications must be agreed in writing (by email or amended PI) and signed by both parties before they take effect. Verbal modification requests are not binding.
7. Cancellation by Blueroute Exim or supplier
In rare circumstances, Blueroute Exim or the supplier may need to cancel an order — for example, where the supplier becomes unable to produce the goods to specification, where a force majeure event makes performance impossible, or where the buyer breaches the PI (including non-payment of balance). In such cases:
- We will inform the buyer promptly in writing.
- We will use reasonable efforts to refund any advance paid, less costs already incurred (raw material, tooling, inspection, lab testing, documentation).
- We may, where appropriate, offer an alternative supplier or product.
8. Force majeure
Neither party shall be liable for cancellation or delay caused by force majeure events, including acts of God, natural disasters, war, terrorism, civil unrest, government action, port closures, labour disputes, pandemics or supply chain disruptions beyond their reasonable control. The party affected by force majeure shall notify the other party promptly and use reasonable efforts to mitigate the impact.
9. Dispute resolution
Any dispute arising out of a cancellation shall be resolved in accordance with the dispute resolution clause in our Terms & Conditions.
